These Terms of Service (“Terms”) govern your access to and use of Oddity Network and related websites and services. By creating an account, signing in (including with Google), connecting Google Calendar, or otherwise using the Service, you agree to these Terms and our Privacy Policy.
If you use the Service on behalf of a company or agency, you represent that you have authority to bind that organization, and “you” includes that organization.
1. What Oddity Network is
Oddity Network is a professional platform and related services that help brands and agencies (and other professional users) connect, schedule, and collaborate in connection with Oddity’s matchmaking and Network offerings. Features may include accounts, profiles, messaging or introductions, scheduling (including via Google Calendar), and membership-related tools. Features may change over time.
Oddity may also provide separate white-glove brand–agency matchmaking and Creative Recruiting services under separate engagement agreements. Where a signed Network membership agreement, agency agreement, or statement of work conflicts with these Terms for that engagement, the signed agreement controls for that engagement.
2. Eligibility
You must be at least 18 years old and able to form a binding contract. The Service is intended for business and professional use.
3. Accounts and Sign in with Google
You are responsible for your account and for activity under it. Keep credentials secure. If you use Sign in with Google, you must comply with Google’s terms and keep your Google account secure. Notify us promptly at Hello@ProjectOddity.com if you suspect unauthorized access.
We may suspend or terminate accounts that violate these Terms, create risk, or are inactive.
4. Google Calendar connection
If you connect Google Calendar, you authorize Oddity to access calendar information as described in our Privacy Policy and as needed to provide scheduling features you enable. Access is limited to the scopes shown on Google’s consent screen. You can disconnect at any time. You are responsible for the accuracy of events you create and for obtaining any permissions needed from attendees or your organization before sharing calendar data through the Service.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or to infringe others’ rights
- Upload malware, scrape without permission, or attempt to disrupt or reverse engineer the Service except where law allows
- Misrepresent your identity, company, or credentials
- Spam, harass, or solicit users in ways unrelated to legitimate Network use
- Share confidential information you are not authorized to share
- Use the Service to circumvent Oddity’s commercial model in bad faith (for example, using introductions obtained through Oddity while intentionally avoiding agreed Network or finder’s-fee terms where those apply under a separate agreement)
6. Your content
You retain ownership of content you submit (profiles, briefs, messages, materials). You grant Oddity a worldwide, non-exclusive license to host, process, display, and use that content as needed to operate and improve the Service and to facilitate introductions you participate in. You represent you have the rights to submit that content.
Feedback you give us about the Service may be used freely without obligation to you.
7. Third-party services
The Service may integrate with third parties (including Google). Their terms and privacy policies apply to their services. Oddity is not responsible for third-party services outside our reasonable control.
8. Fees
Some Network features or memberships may require fees under a separate order form or membership agreement. Brand matchmaking for brands may be free to brands under Oddity’s standard model, with compensation from agencies under separate terms when applicable. Unless stated otherwise in a signed agreement, the Service is provided as described on the site or in your plan.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODDITY DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee specific matches, introductions, hires, revenue, or outcomes.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ODDITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
11. Indemnity
You will defend and indemnify Oddity against claims arising from your content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by Oddity’s willful misconduct.
12. Termination
You may stop using the Service at any time. We may suspend or end access if you breach these Terms or if we discontinue the Service. Sections that by nature should survive (including ownership, disclaimers, limits of liability, and indemnity) survive termination.
13. Changes
We may update these Terms by posting a revised version with a new effective date. Continued use after changes constitutes acceptance. If you do not agree, stop using the Service.
14. Governing law
These Terms are governed by the laws of the State of Minnesota, excluding conflict-of-law rules. Courts in Minneapolis, Minnesota have exclusive jurisdiction, unless applicable law requires otherwise.
